These Terms of Service ("Terms") govern your access to and use of mannlysoftware.com, MannlyPortal, MannlyStudio, related plugins, mobile apps, and managed hosting services offered by MannlySoftware ("MannlySoftware," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.
1. The Services
MannlySoftware provides business software for tattoo studios, including license management through MannlyPortal, studio operations through MannlyStudio, optional mobile apps, integrations with third-party platforms, and managed WordPress hosting. Features may change over time as we improve the platform.
2. Eligibility and accounts
You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for maintaining accurate account information, safeguarding credentials, and all activity under your account. Notify us promptly of any unauthorized use.
3. Licenses and permitted use
Subject to these Terms and payment of applicable fees, MannlySoftware grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business operations. You may not:
- Copy, modify, reverse engineer, or create derivative works of the software except as permitted by law.
- Resell, sublicense, or provide the Services to third parties except as expressly allowed by your license plan.
- Remove proprietary notices or circumvent license validation, security, or usage limits.
- Use the Services in violation of law, third-party rights, or these Terms.
4. Studio and customer data
MannlyStudio stores most studio operational data on your WordPress installation or managed hosting environment. You control the content you enter and are responsible for obtaining any required notices and consents from your clients, staff, and visitors. MannlyPortal stores licensing, activation, and integration metadata needed to operate the platform. Our Privacy Policy describes how we handle information.
5. Hosting and billing
If you purchase managed hosting or recurring subscriptions, you authorize us and our payment processors (such as Square) to charge the payment method you provide on the applicable billing schedule until you cancel. Fees are non-refundable except where required by law or expressly stated otherwise. You are responsible for domain registration, DNS configuration, and compliance with acceptable-use requirements for hosted environments.
6. Third-party services and integrations
The Services may connect to third-party services such as Google Calendar, Square, Firebase, Wyze, email providers, and supplier platforms. Your use of those services is subject to their own terms and policies. MannlySoftware is not responsible for third-party outages, policy changes, or data handling outside our control.
7. Acceptable use
You agree not to use the Services to distribute malware, send unlawful spam, infringe intellectual property, harass others, store or transmit illegal content, or interfere with the security or operation of the Services or other users. We may suspend or terminate access that violates these Terms or creates risk to the platform.
8. Intellectual property
MannlySoftware and its licensors retain all rights, title, and interest in the Services, including software, branding, documentation, and website content. You retain ownership of content you upload or create, and you grant MannlySoftware a limited license to host, process, and display that content solely to provide the Services.
9. Support and changes
We may provide support through email or other channels at our discretion. We may update the Services, change features, or discontinue components with reasonable notice when practicable. Continued use after changes become effective constitutes acceptance of the updated Services, subject to these Terms.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANNLYSOFTWARE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANNLYSOFTWARE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO MANNLYSOFTWARE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You will defend, indemnify, and hold harmless MannlySoftware from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
13. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, or if required by law. Upon termination, your license ends and you must stop using the Services. Sections that by their nature should survive termination will survive.
14. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where mandatory consumer protections apply in your jurisdiction. Disputes will be brought in the state or federal courts located in Florida, and you consent to their jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. The effective date at the top of this page will change when we do. If changes are material, we will provide reasonable notice when practicable. Continued use after the effective date means you accept the revised Terms.
